Artizen Trail

Platform Operator: SPRK42 Ltd, registered in England and Wales

These Terms & Conditions ("Terms") govern your use of the Artizen Trail platform, including its mobile and web applications (collectively, the “Platform”). By using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. About Artizen Trail

Artizen Trail is a digital platform operated by SPRK42 Ltd. It enables users to discover, explore, and engage with art studios, galleries, artists, and trails both virtually and in person. Users can register as:

Visitors
Creators (artists, studios, or trail organisers)
Administrators

The Platform also facilitates the sale of artwork, event bookings, and subscription plans. All payments are securely processed through Stripe.

2. Eligibility and Account Registration

You must be at least 16 years old to use the Platform. If under 18, parental consent is required.
You must provide accurate, up-to-date information and keep your login credentials secure.
You are responsible for all activity conducted under your account.

3. User Roles and Functionality

3.1 Visitors

Browse art spaces, artists, and published trails
Save favourites, leave comments (subject to moderation)
Check in to spaces using QR codes
Purchase artwork and book workshops
Participate in child-friendly features like Kids Trail

3.2 Creators (Artists, Galleries, Trail Organisers)

Upload artwork and profile content
Create and manage art trails, events, and workshops
Enable digital provenance and initiate ownership transfers
Receive payments via Stripe after a platform admin fee and Stripe fee is deducted
Access analytics, check-ins, and audience feedback

3.3 Admins

Moderate content and enforce policies
Configure system settings
Manage user roles and publishing rights

4. Marketplace Transactions

4.1 Platform Role

Artizen Trail acts as a marketplace facilitator. When you purchase artwork or a service:

Payment is made to SPRK42 Ltd
Stripe deducts its processing fee
SPRK42 deducts a platform admin fee
The remainder is transferred to the Creator within 7 days

4.2 Subscriptions

Creators and studios may subscribe to premium services
Subscriptions renew automatically unless cancelled via your account settings
You can cancel anytime; access remains active until the end of the current period

4.3 Refunds and Cancellations

Creators set refund and cancellation policies for their own workshops and artwork
Artizen Trail is not responsible for disputes between users
If you believe a transaction was fraudulent or in breach of these Terms, contact support

5. Content Ownership and Licensing

You retain full ownership of all content you upload
By uploading content, you grant Artizen Trail a non-exclusive, royalty-free, worldwide licence to:
- Display your content within the Platform
- Promote your content in Artizen Trail communications (e.g. social media, newsletters)
- Generate thumbnails or excerpts for discovery and search functions
Artizen Trail will not sell, license, or exploit user-submitted artworks without explicit permission

6. User Conduct

You agree not to:

Violate intellectual property rights
Post harmful, discriminatory, obscene, or misleading content
Engage in fraudulent activity (e.g. false provenance, impersonation)
Interfere with Platform operations or use unauthorised automation
Circumvent moderation or access controls

Violations may lead to suspension, account deletion, or legal action.

7. Provenance and Ownership Transfers

Provenance certificates are user-generated and not independently verified
Ownership transfers are recorded within the app but are not legally binding contracts
Buyers and sellers must perform independent verification prior to transactions
Use of the provenance system is at your own risk

8. Intellectual Property of Artizen Trail

All software, code, branding, and Platform infrastructure is owned by SPRK42 Ltd
You may not reproduce, reverse engineer, or resell any part of the Platform without written consent

9. Third-Party Services

Artizen Trail integrates with services such as Stripe, Google Maps, Firebase, and analytics tools
These third parties have their own terms and privacy policies
We are not responsible for their content or practices

10. Disclaimers and Limitations of Liability

The Platform is provided “as is”. We do not guarantee:

Accuracy or availability of user content
Uptime of the Platform or uninterrupted service
Delivery, quality, or legality of artworks or workshops
Authentication of user identities or artwork provenance

To the extent permitted by law, we disclaim all implied warranties and limit liability for losses incurred through Platform use.

11. Indemnity

You agree to indemnify and hold harmless SPRK42 Ltd and its affiliates from claims, damages, losses, or expenses arising from:

Your use of the Platform
Your breach of these Terms
Your content or interactions with other users

12. Termination and Suspension

We may suspend or terminate access at our discretion for violations of these Terms. User data may be retained or deleted per our Privacy Policy and legal obligations.

13. Changes to These Terms

We may update these Terms periodically. We will notify users of major changes. Continued use of the Platform after changes constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. All disputes shall be resolved in the courts of England and Wales. We encourage informal resolution before legal escalation.
